Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “your”, or “User”) and invoicely (“invoicely”, “we”, “us”, or “our”), governing your access to and use of the invoicely website, web application, APIs, and any related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What invoicely is — and what it isn’t

invoicely is a document-generation tool. It helps you create GST-compliant invoices, send them by email, and trigger automated reminder emails. It is not a payment processor, payment gateway, payment aggregator, or financial institution.

Specifically, invoicely never:

  • collects, holds, or settles any payments owed to you by your clients;
  • acts as an escrow agent or fiduciary;
  • provides loans, advances, factoring, or any other financial product;
  • provides legal, tax, or accounting advice.

Payments from your clients flow directly to your own UPI ID, bank account, PayPal, Wise, or any other payment method you configure. We display these details on the invoices you generate; the funds never pass through invoicely.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Indian law to use the Service. By using the Service you confirm that you meet these requirements and that any information you provide is accurate.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Authentication is provided by Clerk; you agree to also comply with Clerk’s applicable terms.

You agree to provide accurate business information including, where applicable, a valid GSTIN, PAN, and registered business address, and to keep this information up to date. You are solely responsible for the legal accuracy of every invoice you create and send.

4. Acceptable use

You agree that you will not, and will not assist any third party to:

  • use the Service to send unsolicited bulk email, spam, phishing, or fraudulent invoices;
  • impersonate another person or business, or misrepresent your GSTIN, PAN, or other tax identifiers;
  • generate invoices for transactions that did not occur, including for the purpose of tax evasion, GST input-credit fraud, or money laundering;
  • attempt to reverse-engineer, scrape, or interfere with the Service, its infrastructure, or other users’ data;
  • use the Service in violation of any applicable law including the Information Technology Act 2000, the GST Act 2017, the Income-tax Act 1961, the Digital Personal Data Protection Act 2023, or any export-control or sanctions law.

We may suspend or terminate any account that we reasonably believe has violated these Terms, with or without prior notice.

5. Subscription, billing, and refunds

The Service is offered on a freemium basis. The Free plan permits a limited number of invoices per month. Paid plans (Pro and Business) unlock unlimited invoices and additional features as described on our pricing page.

Paid subscriptions are billed in advance, currently via manual UPI payment to the UPI ID displayed on the upgrade page. Once payment is received and verified by us, your account is upgraded for the corresponding billing period (one month or one year).

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. We may change subscription pricing at any time, but any change will only apply to renewals after the change takes effect.

6. Your data and content

You retain all rights to the data you create or upload through the Service, including invoices, client lists, payment-method details, and uploaded images such as logos and signatures (collectively, “Your Content”).

You grant invoicely a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, and process Your Content solely as necessary to operate and improve the Service. We will not use Your Content for any other purpose without your explicit consent.

7. Intellectual property

The Service — including the invoicely name, logo, software, designs, and documentation — is owned by us and protected by copyright, trademark, and other laws. Nothing in these Terms transfers any of those rights to you. You may not use our trademarks without our prior written permission.

8. Third-party services

The Service relies on third-party providers including Clerk (authentication), Neon (database), Cloudflare R2 (file storage), Resend (email delivery), Razorpay (IFSC lookup) and others. Their use is governed by their own terms and privacy policies. We are not responsible for outages or issues caused by these providers, though we will use reasonable efforts to maintain Service availability.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, BUG- FREE, OR ERROR-FREE.

invoicely does not provide legal, tax, or accounting advice. You are solely responsible for ensuring that your invoices comply with Indian law, including the GST Act, the Income-tax Act, and any applicable state laws. We strongly recommend consulting a qualified Chartered Accountant for filings.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, invoicely AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO invoicely IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ₹2,000, WHICHEVER IS LOWER.

These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow exclusions of certain damages — in those, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless invoicely and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) any invoice, statement, or document you generate that is false, fraudulent, or in breach of any law.

12. Termination

You may stop using the Service at any time and may request account deletion by emailing support@invoicely.in. We may suspend or terminate your account if you breach these Terms or if continued provision of the Service to you would be unlawful or commercially unreasonable.

On termination, you remain bound by clauses that by their nature should survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice (for example, by email or by an in-app notice) before the change takes effect. Your continued use of the Service after the change date means you accept the updated Terms.

14. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
